1. Acceptance of These Terms

These Terms of Use ("Terms") are an agreement between you and Sinansys LLC ("Sinansys," "we," "us" or "our"). By accessing or using sinansys.com and any page, report, demonstration material or other public content we make available through it (collectively, the "Website"), you agree to these Terms and our Privacy Policy.

If you use the Website for an organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Website.

2. Website Only; Customer Agreements Control

The Website describes Sinansys and allows visitors to request information, subscribe to updates or arrange a demonstration. It does not itself grant access to the Sinansys platform or create a customer, partnership, advisory, fiduciary or other professional relationship.

Platform access, pilots, professional services, support, service levels, security commitments, data processing, fees and other commercial terms are governed by a separately signed master services agreement, order form, statement of work or evaluation agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for the subject it covers.

3. Informational and Decision-Support Content

The Website may include forecasts, modeled scenarios, estimates, case studies, recommendations, market observations and third-party information. They are provided for general business information and demonstration purposes. They are not guarantees, promises of results, or legal, financial, investment, insurance, engineering or other professional advice.

Supply-chain conditions and source data can change quickly. You are responsible for verifying information, applying your own judgment and obtaining appropriate professional advice before making an operational, financial or other material decision. Examples and results may not reflect what another organization will achieve.

4. Ownership and Limited Permission to Use

The Website and its content—including its text, graphics, software, interfaces, models, methods, reports, trademarks and design—are owned by Sinansys or its licensors and are protected by intellectual-property laws. Third-party names, marks and materials remain the property of their respective owners.

Subject to these Terms, Sinansys gives you a limited, revocable, non-exclusive, non-transferable permission to access and use the Website for your internal business evaluation. No other right or license is granted. "Sinansys" and associated names, logos and product marks may not be used without our prior written permission.

5. Acceptable Use

You may not:

• copy, republish, sell, sublicense or commercially exploit a substantial part of the Website;
• scrape, crawl, harvest or use automated means to extract content or data, except as permitted by applicable law or our written authorization;
• reverse engineer or attempt to discover source code, non-public models, methods or security controls;
• interfere with the Website, bypass access restrictions, probe for vulnerabilities or introduce malicious code;
• misrepresent your identity or affiliation, infringe another person's rights, or use the Website for unlawful, fraudulent or sanctions-prohibited activity;
• use Website content or output to build or train a competing product or model without our written permission.

We may suspend or block access where we reasonably believe these Terms, the law or the security of the Website has been threatened.

6. Requests, Communications and Feedback

If you request a demonstration, subscribe to an update or contact us, you agree that we may respond using the contact details you provide. You can opt out of non-service marketing communications at any time. Our handling of personal information is described in our Privacy Policy.

You keep ownership of materials you send us. You give us permission to use them as needed to respond to your request or provide an agreed service. Please do not send confidential operational data through an ordinary website inquiry or email unless we have agreed on an appropriate process.

If you voluntarily provide suggestions or feedback, we may use them without restriction or payment, provided we do not identify you or disclose your confidential information without permission.

7. Third-Party Content and Links

The Website may refer or link to third-party websites, datasets, publications, products or services. A reference does not necessarily mean that Sinansys endorses or controls the third party. We are not responsible for third-party content, availability, security or privacy practices. Your use of a third-party service is governed by that third party's terms.

8. Availability and Changes

We may update, suspend or discontinue any part of the Website at any time. We do not promise that the Website will always be available, secure or free from errors. We may correct errors or update content without notice.

9. Disclaimers

To the fullest extent permitted by law, the Website is provided "as is" and "as available." Sinansys disclaims all express and implied warranties concerning the Website, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and availability.

We do not warrant that any forecast, signal, estimate, recommendation or third-party information is complete, current or accurate, or that use of the Website will produce a particular outcome. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

10. Limitation of Liability

To the fullest extent permitted by law, Sinansys and its affiliates, officers, employees, advisers, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, data or goodwill, arising from or related to the Website.

To the fullest extent permitted by law, their combined liability for all claims arising from or related to the Website will not exceed the greater of US $100 or the amount you paid Sinansys specifically for access to the Website during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.

11. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless Sinansys and its affiliates, officers, employees and contractors from third-party claims, damages and reasonable costs arising from your unlawful use of the Website, your material breach of these Terms, or content you submit that infringes another person's rights. Sinansys will give you reasonable notice of a covered claim and may participate in its defense.

12. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Website must be brought in the state or federal courts located in New York County, New York, and each party consents to their jurisdiction and venue. Mandatory rights available under applicable law remain unaffected.

13. Changes to These Terms

We may revise these Terms from time to time. The effective date above shows when they were last updated. Changes apply prospectively when posted, unless applicable law requires additional notice. Your continued use of the Website after revised Terms take effect means you accept them.

14. General Terms

If a provision of these Terms is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition or transfer of our business. These Terms and the Privacy Policy are the entire agreement concerning the public Website.
